Daniel A. DiPietro is a Corporate Attorney and the founding member of the Law Offices of Daniel A. DiPietro who provides general corporate legal services to the clients of Bay State IP. Mr. DiPietro represents businesses, investors and individuals in a wide variety of corporate matters covering numerous and diverse industries. Mr. DiPietro handles corporate matters from formation strategy to exit transactions and at all points in between and provides advice to clients involved with routine transactions as well as large, complex matters.
Securities/Financings – Represent issuers, investors (both “angel” and institutional) and banks in connection with private financings of all types, including equity, debt and convertible debt.
Stockholder and Operating Agreements – Counsel and advise clients on proper creation and drafting of corporate governance documents, including shareholder agreements, partnership agreements and limited liability company operating agreements. We advise clients on such issues as buy-out provisions, valuation issues, and death and disability issues.
Merger and Acquisition – Represent acquirers, targets and equity investors in connection with all types of acquisitions and dispositions. Assist corporations and shareholders in all phases of merger and acquisition transactions, including transaction structure, negotiation and document preparation and review.
Structure and Formation: Start-Up – Advise clients on proper entity selection based upon business, taxation, jurisdictional and operational preferences.
Corporate Real Estate Matters – Assist with leasing matters, as well as in the purchase and acquisition of corporate real estate and provide advisory services in the negotiation and document preparation phases.
Employer/Employee Relations – Advise corporate clients in dealing with all aspects of the employer/employee relationship, including contractual, confidentiality, trade secret and restrictive covenant issues.
Executive Compensation – Review and draft executive compensation arrangements, including CEO-level and other employment; change-in-control; severance agreements; stock-based incentive plans; and director compensation.
General Corporate Matters – Review and draft contracts for corporate clients in connection with their day-to-day operations, including preparation of template contracts to be utilized by the clients and their customers.
Mr. DiPietro is admitted to practice in the Commonwealth of Massachusetts. Mr. DiPietro possesses a law degree from Suffolk University Law School, an undergraduate degree from Lake Forest College, and is working towards completion of his Master’s in Business Administration from the Sawyer School of Management at Suffolk University.
